Information About AGM Business
Please find some pertinent by-laws and information about the AGM business.
Regular Members
a) Regular voting members are charitable or not for profit associations and organizations, or institutions which have applied and have been accepted for Regular voting membership in the Council.
b) As set out in ACIC’s by-laws, each Regular voting member is entitled to receive notice of, attend and vote at all meetings of members. Each Regular voting member in good standing shall be entitled to one vote. (good standing = membership fees are paid for 2025-2026. Invoices for this year’s membership fees are coming this week).
Associate Members
a) Associate non-voting members are individuals and for-profit entities which have applied and have been accepted for Associate non-voting membership in the Council.
b) Associate non-voting members may attend, but are not entitled to vote at, meetings of the members of the Council. The following points on Meetings of Members can be found in further detail in ACIC’s By-Laws https://www.acic-caci.org/s/Signed-ACIC-By-Laws-2014.pdf (section 4):
At the Annual General Meeting, the members shall elect a Board of Directors and shall receive a report of the work and financial statement of the Council.
Members, non-members, directors and the public accountant of the Council are entitled to be present at a meeting of members. However, only those members entitled to vote at the members' meeting according to the provisions of the Act, articles and by-laws are entitled to cast a vote at the meeting.
A quorum at any meeting of the members (unless a greater number of members are required to be present by the Act) shall be 20 percent of the members entitled to vote at the meeting. If a quorum is present at the opening of a meeting of members, the members present may proceed with the business of the meeting even if a quorum is not present throughout the meeting.
Unless otherwise required by the Act or the articles of the Council, questions arising at any meeting of the members shall be decided by a consensus of the members present at the meeting. A consensus will be considered to have been reached when no member objects to the question on the floor before the meeting. Should it be determined, after a reasonable effort to achieve consensus has been made, that a consensus will not be reached regarding a particular question then the chair or any member shall refer the question to be decided by a majority vote of the members. In case of an equality of votes either on a show of hands or on a ballot or on the results of electronic voting, the chair of the meeting in addition to an original vote shall have a second or casting vote.
Board Nominations
This year, we have five open board positions:
Nova Scotia Representative
PEI Representative
Newfoundland and Labrador Representative
Member-at-Large positions (2)
Though we have incumbents re-offering for two of these positions, we welcome new candidates for all five of the roles. ACIC board positions are open to Regular and Associate membership in good standing. Provincial Representatives must reside in the province they represent, and member-at-large positions are open to members who reside anywhere in the Atlantic region. Serving on the ACIC board is a rewarding opportunity that gives members the ability to provide guidance and voice into the work of ACIC. The ad-hoc nomination committee is seeking representatives from Black, Indigenous, Racialized communities to better reflect non-dominate realities and better represent all groups in the Atlantic.
